How state filing fees and processing times work

The state filing fee is set by the state, not Genaya, and it is passed through at cost with no markup - it shows as its own line on the quote and on your receipt, separate from Genaya's service fee. The fee also differs by entity type: forming a corporation is not always the same price as forming an LLC in the same state. Florida, for example, charges $130 to form an LLC and $78.75 to incorporate a corporation.

Processing windows vary a lot by state - Colorado can file the same day online, most states land under two weeks, and a handful run longer, like Maryland at 4 to 6 weeks. Genaya shows the typical window for your state on the quote, but it can never guarantee a date, since the filing is completed by the state's own office.

Expedited filing

The Expedited state filing add-on ($149) is available for LLCs only, in Arizona, Delaware, Florida, Nevada, New York, and Wyoming. Instead of stacking on top of the standard fee, the state's expedited fee replaces the standard state filing fee for that order. Corporations file on the standard track in every state - there is no expedited option for a corporation today.

State-specific extras to know

  • New York requires newspaper publication after formation - it is not included in any Genaya package.
  • California charges an $800 yearly franchise tax, paid directly to the state and separate from any Genaya fee.
